By installing, accessing, or using the Software, you agree to this Agreement.
1. License Grant
Subject to your compliance with this Agreement and any applicable subscription terms, Forbinde grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your own internal business operations.
2. Ownership
The Software, including its source code, design, functionality, trademarks, documentation, and related intellectual property, remains the property of Forbinde and its licensors. No ownership rights are transferred to you under this Agreement.
3. Restrictions
You may not:
- sell, sublicense, rent, lease, or redistribute the Software;
- copy the Software except as reasonably necessary for authorized use or backup;
- reverse engineer, decompile, or disassemble the Software except where applicable law expressly permits it;
- remove copyright, trademark, or proprietary notices;
- use the Software to develop or provide a competing service;
- bypass authentication, licensing, subscription, or security mechanisms.
4. Forbinde Service
Certain Software functionality depends on access to the Forbinde platform and may require an active paid subscription. Access to Forbinde services may also be governed by separate Terms of Service and Privacy Policy.
5. Third-Party Services
The Software may connect with third-party ecommerce platforms, warehouse management systems, shipping carriers, fulfillment providers, and other services. Forbinde does not control those third-party services, and your use of them remains subject to their respective agreements and policies.
6. Updates
Forbinde may provide updates, patches, security fixes, improvements, or replacement versions of the Software. Updates may be required to maintain compatibility, security, or access to Forbinde services.
7. Termination
This license remains effective until terminated. Forbinde may terminate or suspend your license if you materially violate this Agreement or lose authorization to use the associated Forbinde service. Upon termination, you must discontinue use of the Software.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided “as is” and “as available.” Forbinde does not guarantee uninterrupted operation, error-free operation, compatibility with every third-party system, or that all defects will be corrected.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Forbinde will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption arising from use of the Software. Forbinde’s aggregate liability arising from the Software will not exceed the amount paid by you to Forbinde for the applicable service during the 12 months preceding the event giving rise to the claim.
10. Compliance With Law
You are responsible for using the Software in compliance with applicable laws, regulations, ecommerce platform requirements, and third-party service terms.
11. Changes to This Agreement
Forbinde may update this Agreement from time to time. Updated terms will be posted on this page with a revised “Last Updated” date.
